This Agreement, dated on the day of , is made between The Subcontractor, (name) and ABN number (), and Blue Facility Services Pty Ltd ACN (665 522 566) (the "Company").
Blue Facility Services Pty Ltd, referred to as the CONTRACTING PARTY, and the person listed above, referred to as the SUBCONTRACTOR. The Subcontractor is engaged in the business of providing cleaning services and is able to offer the Company specialized skills and expertise on a project basis. The Contracting Party is only interested in the results obtained by the work of the Subcontractor. The Subcontractor is not required to carry out the work in person and may utilize professional subcontractors or staff to carry out the work if desired. The Subcontractor guarantees to the Contracting Party that all cleaning staff and subcontractors hired under the Subcontractor are paid at or above the minimum fair pay award rates.
(a) The Subcontractor agrees to provide the following cleaning services: commercial, residential, and industrial cleaning services. (b) The price for the services will be agreed upon before carrying out the work. (c) The Subcontractor will provide all necessary personal protective equipment and shall be responsible for providing all the tools and materials required for the performance of the agreed tasks. (d) The Subcontractor will send an invoice to the Company at the end of each fortnight, along with fortnight time sheets detailing the services performed. (e) Blue Facility Services Pty Ltd payment will be made after 15 days from receipt of the Subcontractor's invoice. (f) This Agreement is effective until close of business.
(a) This Agreement does not establish a partnership, joint venture, or employment relationship. (b) The Subcontractor must act as an independent contractor for the Company and cannot incur any liabilities or obligations on behalf of the Company. (c) The Company will not be responsible for the Subcontractor's personnel's remuneration, insurance, taxes, or any other liabilities. (d) The Subcontractor will maintain a high level of discretion and professionalism in the performance of the services. (e) The contracting party provides no benefits such as unemployment insurance, health insurance, or Worker's compensation to the Subcontractor. (f) The Subcontractor is responsible & liable for the cost of any damages or injuries caused by the Subcontractor or caused by the negligence of the Subcontractor.
(a) The Subcontractor agrees that if any equipment is provided by the Company for the performance of cleaning services, they are responsible for maintaining it in good condition. (b) In case of damage, loss, or theft of the equipment provided by the Company, it is the exclusive responsibility of the Subcontractor to repair or replace the equipment at their own expense.
(a) The Subcontractor agrees to use the uniform provided by Blue Facility Services Pty Ltd while performing the cleaning services. The uniform shall include Company T-Shirt and or Jumper, black pants, and black shoes. (b) The Subcontractor shall ensure that their personnel wear the Company's uniform at all times during the provision of cleaning services on the Company's premises.
(a) Both parties agree to keep confidential information confidential and indemnify the other for any breach. (b) The Subcontractor must not disclose any confidential information about the Company's business, strategies, or interests. (c) The Subcontractor shall not directly or indirectly compete with the Contracting Party's clientele they are contracted to service for the restricted period of 24 months.
(a) Either party may terminate the Agreement with two weeks' written notice. (b) If the Subcontractor terminates the Agreement prior to its expiration, they will pay the average weekly invoice payment as liquidated damages. (c) The Company agrees to give the Subcontractor two weeks' notice if the Agreement is not to be renegotiated at its expiration. (d) The Contracting Party may be forced to terminate this agreement immediately for continued serious dishonesty or continued unsatisfactory performance of services rendered in order to maintain a sound business structure.
If a dispute arises, the parties will engage in negotiations. If negotiations fail, the parties will use mediation services provided by the government of Victoria, Australia, each bearing their own costs.
